    Warehouse Storage Agreement
    This Warehouse Storage Agreement (hereinafter referred to as the "Agreement") is made and entered into by and between ________ (hereinafter referred to as the "Depositor") and ________ (hereinafter referred to as the "Warehouse Keeper") on the following terms and conditions:
    1. Scope of Agreement
    This Agreement governs the storage of goods by the Depositor in the Warehouse Keeper's warehouse located at ________ (address). The goods to be stored include, but are not limited to, ________ (describe the goods).
    2. Term of Agreement
    This Agreement shall be effective from ________ (start date) to ________ (end date). Upon expiration of t
his term, unless otherwise agreed in writing by both parties, this Agreement shall be automatically renewed for successive terms of equal duration.
    3. Storage Fees
    The Depositor shall pay the Warehouse Keeper reasonable storage fees for the goods stored hereunder. The fees shall be calculated based on ________ (basis for calculation) and shall be paid ________ (payment schedule).
    4. Access to Warehouse
    The Warehouse Keeper shall provide the Depositor with appropriate access to the warehouse for the purpose of inspecting, loading, unloading, and removing the goods stored hereunder. Such access shall be subject to reasonable notice and shall be at times mutually agreed by both parties.
    5. Duty of Care
    The Warehouse Keeper shall exercise the same degree of care in safeguarding the goods stored hereu
nder as a reasonably prudent person would exercise in respect of their own property. The Warehouse Keeper shall also comply with all applicable laws and regulations pertaining to the storage of goods.
    6. Insurance
    The Warehouse Keeper shall maintain insurance on the goods stored hereunder against fire, theft, and other risks commonly encountered in the storage business. The Depositor shall provide evidence of such insurance upon request.
    7. Loss or Damage to Goods
    If any loss or damage occurs to the goods stored hereunder, except for such loss or damage attributable to the Depositor's fault, the Warehouse Keeper shall indemnify the Depositor for such loss or damage to the extent covered by the insurance maintained by the Warehouse Keeper.
    8. Termination of Agreement
    This Agreement may be terminated by either party giving written notice to the other party. In such event,
the Depositor shall remove the goods from the warehouse within a reasonable period of time after receipt of such notice. If the Depositor fails to remove the goods within such period, the Warehouse Keeper may, at its option, remove and store the goods at the Depositor's risk and expense or dispose of them as abandoned property.
    9. General Provisions
    a) This Agreement constitutes the entire agreement between the parties for the storage of the goods covered hereunder and no modification of this Agreement shall be binding unless made in writing and signed by both parties.
    b) If any provision of this Agreement is invalid or unenforceable under any applicable law, such invalidity or unenforceability shall not affect the validity or enforceability of any other provision of this Agreement.
    c) This Agreement shall be governed by and construed in accordance with the laws of the state of ________ (state).保管协议
    d) Any dispute arising out of or in connection with this Agreement shall be resolved through negotiation.
If negotiation fails, either party may submit such dispute to arbitration in accordance with the laws of ________ (state) or other applicable law.
    e) This Agreement may be executed in multiple counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same agreement.
