公司章程
第一章 总 则
第一条 依据《中华人民共和国公司法》（以下简称《公司法》）及有关法律、法规的规定，由_______方共同出资，设立____________公司（以下简称“公司”），特制定本章程。
第二条 本章程中的各项条款与任何适用于公司的中国现行的法律、法规、规章、通知以及其他立法、行政或司法解释或公告（“相关法律”）不符的，以相关法律为准。

The liability of a shareholder of the Company shall be limited to the registered capital contributed by or committed to be contributed by such shareholder to the Company. 第三章 公司经营范围
第七条 公司经营范围（以执照核准为准）：
会务策划；会议服务、经济信息咨询、翻译服务。
第八条 公司作为独立的经济实体开展业务，自主经营。
第九条 公司拥有的权利包括但不限于：
（一） 为获得公司的办公地点或其他办公场所、技术或设备签订租赁、土地使用权转让和／或土地使用权出让协议；
（二） 为使公司有效运营，与根据相关法律或其他任何国家或地区的法律和法规设立的任
何个人、实体或组织签署任何其他合同，包括有关提供公用事业、人员、家具、电器、设备、机器和任何其他用品的合同；
Chapter 3: Business Scope of the Company
Article 7. The business scope of the Company is (subject to approval in business license): conference planning; conference services; economic information consultation and translation service.
Article 8. The Company shall conduct its business as an independent economic entity and will operate autonomously.
Article 9. The Company shall have the power, including without limitation, to:
(1) enter into lease, land use transfer and/or grant agreements to obtain office premises or any other business premises and technology or equipment for the Company;
(2) enter into any other contracts with any person, entity or organization, whether
existing under relevant laws in the PRC’s jurisdiction, or the laws of any other country or region required for the efficient operation of the Company, including contracts for the provision of utilities, labour, furniture, appliances, equipment, machinery and any other supplies;
（三） 根据公司的需要借款或提供担保，并且按照相关法律不时提取、开具、接受、背书、签署和签发数额不受限制的汇票和其他可转让或不可转让的票据和债务凭证；
（四） 按照相关法律，通过对所有或部分公司财产进行抵押、质押或提供其他担保权益，为支付前述任何款项和其孳生的任何利息提供担保；
（五） 从事与前述有关的业务，并从事上述规定的任何或所有事项；
（六） 依照相关法律，取得并维持公司及其资产必需的所有保险；
（七） 从事其它任何在批准的公司经营范围内，或相关法律不时允许从事的合法行为或活动。
