城市合伙人管理制度办法
小窍门大全为了更好地规范公司内部运营机制,提高整体效率和抗风险能力,削减运营成本,确保利润率,明确总公司与各子公司之间的内部管理关系,我们特别制定了以下子公司内控制度管理办法。
第一章:管理原则
总公司的管理定位为战略规划中心、投融资决策中心、业务指导中心、信息中心、财务管理中心和服务支持中心。分公司的管理定位为利润增值中心和业务执行中心,是公司目标管理的具体实施单位。分公司在总公司总体目标框架下,并在总公司授权范围内组织开展以战略目标实施为核心、以总公司下达的各阶段经营管理目标和工作布署为依据的日常经营管理工作。总公司对分公司的经营授权关系将根据公司经营规模、经济效益、发展阶段等不同情况适当调整。
总公司负责制定公司相关制度及原则性、方向性的管理规定,分公司严格执行总公司下发的相关制度。分公司可在总公司相关制度(原则)下制定具体的实施细则,但需报总公司审批

第二章:分公司设立和撤销
公司在经营允许范围内,对市场进行充分调研,认为条件成熟、有良好发展空间,有必要进行分公司运作的,由董事会拟定相关执行方案,经股东会讨论通过后,方可成立分公司。分公司批准成立后3个月内涉及办公场所、办公设施、设备等,由分公司按需配置。总公司为分公司工程项目实施提供项目资源、金融服务、业务培训、运营指导,分公司提供施工设施、设备和人员支持。分公司变更注册名称、地址或需上报总公司按流程审批。分公司因故需暂停运营或撤销经董事会审议后报股东会批准。
第三章:总公司与分公司职权划分
根据总公司和分公司的定位,可各自职权做如下划分:
